Independent Contractor Agreement

Parties:
LifeWise Digital, Inc. ("LifeWise" or "Company") and Marketing Professional ("Contractor" or "Expert").
Recitals
LifeWise operates the davieExperts platform connecting clients with marketing professionals. Contractor has been approved to provide services and agrees to do so under the terms below.
1. Services and Engagement
1.1 Independent Contractor Status
- Contractor is not an employee, partner, or agent of LifeWise.
- Contractor is responsible for all taxes.
- No employee benefits are provided.
- Contractor maintains their own insurance.
- Contractor controls how services are performed.
1.2 Scope of Services
Services may include:
- Paid advertising (Google, Meta, LinkedIn)
- SEO and website development
- Email/SMS marketing
- Branding and creative
- Analytics and reporting
1.3 Purchase Orders
Each project will define scope, timeline, compensation, and requirements. Contractor may accept or decline within 48 hours.
1.4 Performance Standards
- Deliver professional, timely work
- Meet deadlines
- Communicate clearly with clients
- Maintain confidentiality
2. Term and Termination
2.1 Term
This Agreement continues until terminated.
2.2 Termination for Convenience
Either party may terminate with 30 days notice.
2.3 Termination for Cause
Immediate termination for breach, insolvency, or failure to cure within 10 days.
2.4 Effect of Termination
- Stop representing LifeWise
- Return confidential data
- Payment for completed work (if client paid)
3. Compensation
3.1 Revenue Share
- 85% for hourly work
- 90% for project-based work
3.2 Payment Terms
Paid twice monthly after client payment clears.
3.3 Time Tracking
- Track hours accurately
- Submit logs or invoices as required
3.4 Expenses
Contractor covers all expenses unless otherwise approved.
3.5 Taxes
- Contractor responsible for all taxes
- 1099-NEC issued if applicable
4. Intellectual Property
- All work is “work made for hire”
- Ownership transfers to LifeWise
- Clients receive rights upon payment
- No third-party IP without permission
5. Confidentiality
- All non-public information must be protected
- Used only for service delivery
- Obligation lasts 3 years (or longer for trade secrets)
6. Non-Solicitation
- No direct client work outside platform for 24 months
- No recruiting LifeWise contractors
- Breach may result in legal action
7. Representations
- Contractor has authority and qualifications
- Work will not infringe on rights
- Must comply with all laws (FTC, GDPR, etc.)
8. Indemnification
Contractor agrees to indemnify LifeWise against claims arising from work, violations, or breaches.
9. Limitation of Liability
- No liability for indirect or consequential damages
- Liability capped at last 6 months of payments
10. General Provisions
- Independent contractor relationship
- Entire agreement governs all work
- South Carolina law applies
- Disputes handled in Beaufort County, SC
- Force majeure applies
